Terms and Conditions
1. Scope and Contracting Parties
These terms and conditions apply to all contracts regarding the purchase of digital exhibitor directories between Ceramex Media GmbH, Bruchwiesen 10, 21217 Seevetal (hereinafter referred to as the "Provider") and the customer.
The offer is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. By placing an order, the customer confirms that they are acting in the exercise of their commercial or self-employed professional activity.
Deviating terms and conditions of the customer shall only apply if the Provider expressly agrees to them in text form.
2. Subject Matter of the Contract
The subject matter of the contract is the one-time provision of an exhibitor directory for a specific trade fair edition as a downloadable file.
The scope of the directory—the number of entries and the proportion of included e-mail addresses—is indicated on the product page. These figures are based on actual counts rather than estimates. No guarantee is provided regarding completeness beyond these figures: a directory reflects the status of the analyzed sources at the time of its creation.
The data is derived from publicly accessible sources, in particular exhibitor directories published by trade fair organizers and company websites. The Provider does not guarantee that a company can still be reached at the specified address at the time the data is accessed.
3. Conclusion of Contract
The presentation of the directories in the shop does not constitute a binding offer, but rather an invitation to place an order.
The customer enters their details and subsequently views an overview showing the final amount. By clicking the button "Order with obligation to pay," the customer submits a binding offer. The contract is concluded upon the Provider's confirmation of the order, or at the latest, upon the provision of the file.
4. Prices and Payment
All prices are net prices. Where applicable, VAT is shown separately during the ordering process.
Payment is made via PayPal. The amount is due immediately upon conclusion of the contract.
For customers based in other EU countries with a valid VAT identification number, the tax liability is transferred to the recipient of the service (reverse charge mechanism); the invoice will indicate this.
5. Provision
The provider makes the file available following receipt of payment via a personal download link sent by email.
The link is valid for 30 days and limited to 10 downloads. It is not intended for sharing with others. If the link expires, the provider will supply a new one upon request within the statutory warranty period.
There is no entitlement to subsequent updates of the directory.
6. Usage Rights
The customer receives a non-exclusive, perpetual, non-transferable right to use the directory for their own business purposes.
The following are prohibited without prior consent in text form:
- passing on, reselling, or sub-licensing to third parties, including in part
- publishing the directory or substantial parts thereof
- use by other companies within the same corporate group
- inclusion in the customer's own data product offered to third parties
The database and its compilation are protected as a database work (Sections 87a et seq. of the German Copyright Act [UrhG]).
7. Customer Obligations Regarding Data Handling
The directory contains data that may be personal in nature. Upon provision of the data, the customer becomes the independent controller for any further processing within the meaning of Art. 4 No. 7 of the GDPR. This does not constitute data processing on behalf of a controller (commissioned processing).
The customer undertakes to:
- use the data solely for initiating business contacts in a commercial context
- comply with their information obligations towards the data subjects pursuant to Art. 14 of the GDPR
- comply with the requirements of Section 7 of the Act Against Unfair Competition (UWG); - in particular, advertising via email without prior express consent is generally prohibited
- objections raised by data subjects must be heeded without delay, and the relevant data must be removed from the records
The customer shall indemnify the provider against third-party claims arising from a breach of these obligations.
8. Warranty and Liability
Statutory provisions apply.
The provider is liable without limitation for willful misconduct and gross negligence, as well as for damages resulting from injury to life, body, or health. In the event of a breach of a material contractual obligation due to simple negligence, liability is limited to the foreseeable damage typical for the contract. Otherwise, liability is excluded.
9. Right of Withdrawal
A right of withdrawal exists only for consumers. As this offer is directed exclusively at business customers, there is generally no right of withdrawal.
Where a right of withdrawal exists in an individual case, the instructions on the right of withdrawal apply.
